# Terms & Conditions **Effective Date:** May 1, 2025 **Last Updated:** July 19, 2026 These Terms & Conditions ("Terms") govern your access to and use of the EaseList.AI website, applications, browser extensions, APIs, and all related services (collectively, the "Platform") provided by Easelist.ai ("EaseList," "we," "us," or "our"). By accessing or using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms and our [Privacy Policy](/privacy). If you do not agree with any part of these Terms, you may not use the Platform. ## 1. Eligibility You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements. ## 2. Account Registration To access certain features, you must create an account. You agree to: - Provide accurate and complete information during registration - Keep your login credentials secure and confidential - Notify us immediately if you suspect unauthorized use of your account - Accept full responsibility for all activity that occurs under your account ## 3. Connected Accounts When you link external marketplace accounts (such as Amazon, Etsy, eBay, or Shopify), you: - Authorize EaseList to access and process data on your behalf via those platforms' official APIs - Agree to comply with the terms and conditions of those third-party services - Acknowledge that EaseList acts only as an authorized agent to facilitate data access, processing, and visualization on your behalf - Remain solely responsible for maintaining compliance with connected platform policies ## 4. Third-Party Integrations EaseList accesses your marketplace data exclusively through the official APIs of the seller platforms you connect, using credentials you provide. We do not scrape these platforms' websites or access other sellers' accounts. Some seller platforms' API result data includes public marketplace information (for example, competing offers and pricing returned by their pricing endpoints); we may use that data to power features such as repricing and market analysis on your behalf. ## 5. Acceptable Use You agree not to: - Violate any applicable laws or regulations - Infringe upon any intellectual property, privacy, or other third-party rights - Upload or transmit viruses, malware, or any harmful code - Attempt to gain unauthorized access to the Platform or any other user's data - Reverse engineer, decompile, or attempt to extract the source code of the Platform - Use the Platform for unauthorized scraping, resale, or redistribution of data - Misrepresent your identity or affiliation in connection with the Platform ## 6. User Content You retain full ownership of all data, files, and content you upload or generate on the Platform. By submitting content, you grant EaseList a limited, non-exclusive, revocable license to store, process, and display your content solely as necessary to deliver and improve the services. ## 7. Privacy Your data is handled in accordance with our [Privacy Policy](/privacy). By using the Platform, you consent to the collection, use, and storage of your information as described in that policy. ## 8. Intellectual Property All trademarks, software, design elements, and original content on the Platform are the exclusive intellectual property of EaseList or its licensors. You may not reproduce, modify, distribute, or reverse engineer any portion of the Platform without prior written consent. ## 9. Beta Program EaseList is currently in beta. By using the Platform, you acknowledge and agree that: - **Service stability:** Beta features may contain bugs, errors, or incomplete functionality and are provided "as-is" for testing purposes - **Availability:** EaseList may modify, limit, or discontinue Beta access at any time without notice - **Confidentiality:** Please keep explicitly pre-release or unreleased features confidential. You may share your general experience of the Platform publicly, but agree not to disclose or demonstrate features that are marked as confidential or pre-release without our written permission - **Feedback:** Any feedback, suggestions, or ideas you voluntarily share with EaseList may be used by us without restriction or compensation. By submitting feedback, you grant EaseList a worldwide, irrevocable, royalty-free license to use, incorporate, and commercialize it - **Data handling:** Data processed during the Beta may be used for diagnostics and performance improvement. While we take reasonable precautions, the Beta environment may not offer the same security guarantees as a production service ## 10. Subscriptions, Billing & AI Credits Certain Platform features are available under paid subscription plans, billed through our payment processor. AI-powered operations (such as analysis, discovery, and automation) consume AI credits included with your plan or purchased separately. - **No cash value.** AI credits have no monetary value, are not redeemable for cash, and are non-transferable between accounts. - **Non-refundable on cancellation.** Unused AI credits are **not refundable** upon cancellation, downgrade, or termination of your subscription, except where a refund is required by applicable law. - **24-month preservation for re-subscribers.** If your subscription is cancelled, your unused AI credit balance is preserved for **24 months** from the cancellation date. If you re-subscribe within that period, the preserved balance becomes available on your account again. Credits not restored by an active re-subscription within 24 months expire and are forfeited. ## 11. Disclaimer of Warranties The Platform is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted, error-free, or secure operation of the Platform. ## 12. Limitation of Liability To the fullest extent permitted by applicable law, EaseList shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, or business interruption, arising from your use of or inability to use the Platform, even if advised of the possibility of such damages. ## 13. Indemnification You agree to indemnify, defend, and hold harmless EaseList and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including marketplace platform terms; or (d) any content you submit or actions you take through the Platform. ## 14. Termination We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to our users, the Platform, or our business. ## 15. Governing Law These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes must be resolved in the courts of Santa Clara County, California. ## 16. Severability If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect. ## 17. Entire Agreement These Terms, together with our Privacy Policy, constitute the entire agreement between you and EaseList regarding your use of the Platform and supersede all prior agreements, understandings, and representations relating to the same subject matter. ## 18. Affiliate Disclosure EaseList participates in the eBay Partner Network (EPN), an affiliate advertising program. As an eBay Partner Network Affiliate, we earn from qualifying purchases made through links on this Platform. When you click on certain product links and make a purchase, EaseList may receive a commission at no additional cost to you. ## 19. Modifications We may update these Terms at any time. If changes are material, we will notify you by email or through the Platform. The "Last Updated" date at the top of this page reflects the most recent revision.
